Terms of Service
By signing up for or using HelloMaxx, you agree to these terms. They form the agreement between you and Amazica Holdings LLC, the company that operates HelloMaxx.
1. The service
HelloMaxx is a software service that provides an AI companion (called Maxx) for daily conversation, memory, reminders, and family connection features. The service is delivered through our website, mobile applications, and connected services.
2. Eligibility
You must be at least 18 years old to create an account. If you are setting up an account on behalf of a parent or family member, you confirm that they have agreed to use the service.
3. Your account
You are responsible for keeping your account credentials secure and for all activity under your account. Notify us immediately if you suspect unauthorized use.
4. The 7-day free trial
When you sign up, we collect your payment information. You will not be charged during the 7-day free trial. On day 8, the full price of your selected tier and billing cycle will be charged. You may cancel anytime during the trial through your account dashboard, and you will not be charged.
Before your trial ends, we will send you reminder emails on day 5, day 6, and day 7 so you have advance notice of any upcoming charge.
5. Subscription and billing
HelloMaxx is sold as a subscription with three tiers (Hello Daily, Hello Always, Hello Forever) and two billing cycles (monthly or yearly with a 20% annual discount). Yearly subscriptions are billed once per year. Monthly subscriptions are billed every month. All charges are processed by our payment processor.
Pricing is subject to change. If we change the price of your subscription, we will notify you at least 30 days in advance and the new price will apply at your next renewal.
6. Tier auto-upgrade
Important: Your subscription is metered with clear monthly limits on conversation minutes, tokens, and long-term memory facts. If you reach 100% of your tier's limits within a billing period, your subscription will automatically upgrade to the next tier without requiring a separate confirmation. The prorated cost of the upgrade will be charged to your payment method on file.
By signing up for HelloMaxx, you authorize this automatic tier upgrade behavior.
You will receive an email notification confirming the upgrade and a one-tap option to downgrade back to your previous tier from your account dashboard at any time. Downgrades take effect at the start of the next billing cycle.
We will also send a notification when you reach 80% of your tier's limit, so you can choose to upgrade preemptively or contact support if you have questions.
If you are on the highest tier (Hello Forever) and continue to use the service beyond its limits, no further upgrades will occur. We will continue to provide service.
7. Pause and cancel
You can pause your subscription for 1, 2, 3, or 6 months at any time through the account dashboard. No charges are made during the pause period, and your data is preserved. Resume anytime.
You can cancel your subscription at any time through the account dashboard. Cancellation takes effect at the end of your current billing period. After cancellation, your data is retained for 90 days, then soft-deleted with an option for full deletion on request.
8. Acceptable use
You agree to use HelloMaxx for lawful, personal purposes. You agree not to:
- Use the service to harm, harass, or impersonate another person.
- Attempt to extract, copy, or reverse-engineer the underlying AI models.
- Resell or redistribute the service without our written permission.
- Upload illegal content, malware, or content you do not have the right to share.
9. Maxx is not a professional
Maxx is an AI companion. Maxx is not a doctor, therapist, lawyer, or financial advisor and does not provide medical, mental health, legal, or financial advice. If you have a question that requires professional judgment, consult a qualified professional. In an emergency, call 911 (in the United States).
Reminders set by you or by family members are delivered as written. Maxx does not originate medical content. HelloMaxx is not a medical device.
10. Family accounts
A family account allows a family member (typically an adult child) to set up and pay for the service on behalf of a primary user (typically an elderly parent). The billing party is responsible for charges. Family members can manage subscription, set reminders, and receive usage summaries. Family members do not have access to conversation transcripts.
11. Intellectual property
The HelloMaxx software, brand, and content are the property of Amazica Holdings LLC. You retain ownership of the content you provide (your conversations, photos, voice messages). You grant us a limited license to use that content solely to operate the service for you.
12. Disclaimer of warranties
HelloMaxx is provided "as is." We do our best to keep the service running and useful, but we don't promise it will be error-free, uninterrupted, or perfectly accurate. AI responses can sometimes be wrong; do not rely on Maxx for safety-critical information.
13. Limitation of liability
To the maximum extent permitted by law, Amazica Holdings LLC's total liability for any claim arising out of your use of HelloMaxx is limited to the amount you paid us in the 12 months preceding the claim.
14. Termination
We may suspend or terminate your account if you violate these terms. We will tell you why if we do.
15. Changes to these terms
If we make material changes to these terms, we will notify you by email at least 30 days in advance.
16. Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles.
